Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Contractor," "you," or "your") and BidChaser, operated by Luke Larsen ("BidChaser," "we," "us," or "our"). By accessing or using the BidChaser platform located at trybidchaser.com ("Service"), creating an account, or clicking "I Agree," you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or in-app notification at least fourteen (14) days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.

2. Description of Service

BidChaser is an SMS follow-up automation platform designed for contractors. The Service enables you to:

  • Enter and manage customer information, including names, phone numbers, and estimate amounts
  • Send automated SMS follow-up messages to customers regarding their pending estimates
  • Track estimate page views, clicks, and customer engagement
  • Receive real-time alerts when customers engage with their estimates
  • Manage your estimates and sales follow-up pipeline

The Service utilizes Twilio for SMS message delivery, Supabase for data storage, and Stripe for payment processing. BidChaser does not guarantee any specific business outcomes, conversion rates, or response rates from the use of the Service.

3. Account Registration and Responsibilities

To use the Service, you must create an account and provide accurate, complete, and current information. You represent and warrant that:

  • You are at least eighteen (18) years of age
  • You are authorized to operate a business and enter into this agreement
  • All information you provide during registration and use of the Service is truthful and accurate
  • You will maintain the security of your account credentials and not share them with unauthorized parties
  • You will promptly notify us of any unauthorized access to or use of your account

You are solely responsible for all activity that occurs under your account, whether or not authorized by you. BidChaser shall not be liable for any loss or damage arising from your failure to maintain the confidentiality of your account credentials.

4. SMS and Messaging Compliance

The Service sends SMS text messages to your customers on your behalf. You acknowledge and agree to the following obligations and responsibilities regarding messaging:

Consent Requirements

You are solely responsible for obtaining proper consent from each customer before entering their phone number into the Service. At a minimum, you must obtain verbal consent from each customer acknowledging that they agree to receive text message follow-ups regarding their estimate. You must not enter the phone number of any person who has not provided consent to receive these messages.

TCPA Compliance

You are responsible for ensuring that your use of the Service complies with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and all applicable federal, state, and local laws governing electronic communications and text messaging. BidChaser provides the platform and tools for sending messages; however, you bear full responsibility for compliance with all messaging laws and regulations.

Opt-Out Handling

Recipients may reply STOP at any time to opt out of further messages. The Service will automatically honor opt-out requests. You must not attempt to contact customers who have opted out through any other channel using this Service, nor attempt to re-enroll opted-out customers without obtaining new, express consent.

Prohibited Messaging Practices

You agree that you will not:

  • Use the Service to send unsolicited messages (spam) to any person
  • Send messages to individuals who have not provided consent
  • Send promotional or marketing content unrelated to a specific estimate
  • Send messages containing illegal, deceptive, misleading, or harassing content
  • Exceed reasonable messaging frequency or use the Service to harass recipients
  • Circumvent or attempt to circumvent any opt-out requests

5. Subscription and Billing

Plans and Pricing

BidChaser offers the following subscription plans:

  • Starter Plan: $29 per month, includes up to 15 active estimates. The Starter Plan includes a fourteen (14) day free trial for new subscribers.
  • Pro Plan: $79 per month, includes up to 100 active estimates.

Pricing is subject to change. We will provide at least thirty (30) days written notice before any price increase takes effect for existing subscribers.

Billing and Payment

Subscription fees are billed monthly in advance through Stripe. By subscribing, you authorize us to charge your designated payment method on a recurring basis. You are responsible for maintaining a valid payment method on file. If a payment fails, we may suspend your account until the outstanding balance is resolved.

Free Trial

The Starter Plan includes a fourteen (14) day free trial. At the end of the trial period, your payment method will be charged automatically unless you cancel before the trial expires. You may cancel at any time during the trial period without being charged.

Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation, your account will remain active and fully functional until the end of your current billing period. After the billing period expires, your account will be downgraded and automated messaging will cease.

Refund Policy

BidChaser does not provide refunds for partial months of service. If you cancel your subscription mid-cycle, you will retain access to the Service through the end of your current billing period, but no prorated refund will be issued for the remaining days. All fees are non-refundable except as required by applicable law.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service for any illegal, fraudulent, or unauthorized purpose
  • Send messages that harass, threaten, defame, or intimidate any person
  • Send unsolicited bulk messages or spam of any kind
  • Upload false, misleading, or fraudulent customer information
  • Attempt to gain unauthorized access to the Service, other user accounts, or related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service
  • Use automated scripts, bots, or other tools to access or interact with the Service in an unauthorized manner
  • Circumvent or attempt to circumvent any rate limits, security features, or access restrictions
  • Resell, sublicense, or provide access to the Service to third parties without our express written consent

We reserve the right to investigate and take appropriate action against anyone who violates these restrictions, including suspending or terminating the offending account and reporting the activity to law enforcement authorities.

7. Intellectual Property

The Service, including all software, design, text, graphics, logos, icons, and other content ("BidChaser Materials"), is owned by BidChaser and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in accordance with these Terms.

You retain full ownership of all customer data, estimates, and content you create or upload through the Service. By using the Service, you grant BidChaser a limited license to process, store, and transmit your content solely as necessary to provide the Service to you. We do not claim any intellectual property rights over your content.

The BidChaser name, logo, and all related trademarks are the property of BidChaser. You may not use our trademarks without our prior written consent.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIDCHASER, ITS OWNER, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of revenue, profits, or business opportunities
  • Loss of data or data corruption
  • SMS message delivery failures, delays, or errors caused by carriers, Twilio, or network issues
  • Missed follow-ups or failed communications with customers
  • Actions or decisions made by customers in response to messages sent through the Service
  • Service interruptions, downtime, or unavailability
  • Any damages arising from unauthorized access to your account

IN NO EVENT SHALL BIDCHASER'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO BIDCHASER IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, BIDCHASER DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, BidChaser does not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • All SMS messages will be delivered successfully or within any specific timeframe
  • The Service will meet your specific business requirements or expectations
  • Any defects or errors in the Service will be corrected
  • The results obtained from using the Service will be accurate or reliable

You acknowledge that SMS message delivery depends on third-party services (including Twilio and mobile carriers) that are outside of BidChaser's control, and BidChaser is not responsible for the performance, availability, or reliability of such third-party services.

10. Indemnification

You agree to indemnify, defend, and hold harmless BidChaser, its owner, affiliates, officers, agents, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • SMS messages sent through your account, including any claims related to message content, frequency, or recipients
  • Your failure to obtain proper consent from message recipients as required by the TCPA or other applicable laws
  • Any TCPA violations, carrier complaints, or regulatory actions arising from your use of the Service
  • Your violation of any applicable law, regulation, or third-party rights
  • Any dispute between you and your customers

This indemnification obligation shall survive the termination of your account and these Terms.

11. Termination

Termination by You

You may cancel your subscription and terminate your account at any time through your account settings or by contacting us at support@trybidchaser.com. Upon cancellation, your account will remain active until the end of your current billing period.

Termination by BidChaser

We may suspend or terminate your account immediately and without prior notice if you violate these Terms, use the Service for illegal purposes, fail to pay applicable subscription fees, engage in activity that could harm BidChaser or other users, or if we are required to do so by law. We may also discontinue the Service at any time with at least thirty (30) days prior notice.

Effect of Termination

Upon termination, your right to access and use the Service will cease immediately (or at the end of your billing period, if applicable). All automated messaging will stop. Your data will be retained for thirty (30) days following termination to allow you to export your information. After the thirty (30) day period, all account data, customer records, and message history will be permanently deleted and cannot be recovered.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or your use of the Service shall be brought exclusively in the state or federal courts located in South Carolina, and you consent to the personal jurisdiction of such courts.

Before initiating any formal legal proceedings, you agree to first contact us at support@trybidchaser.com and attempt to resolve the dispute informally for at least thirty (30) days.

13. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and BidChaser with respect to the Service and supersede all prior or contemporaneous agreements, communications, and proposals.

Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. The failure of BidChaser to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. BidChaser may assign these Terms without restriction.
